Roam Simple Wireless ("Roam Simple") and the person whom to which the
credit card is issued to ("Customer"), hereby agree to the following
terms and conditions with respect to the provisioning of, cellular phones,
SIM cards, accessories and related services. The following Terms and
Conditions are accepted by you the Customer upon placement of an order
for equipment and service, whether via www.roamsimple.com ("Website")
or otherwise which will constitute a binding and enforceable legal
agreement between the two parties.
Thank you for visiting www.roamsimple.com, the official website of Roam
Simple Wireless. By visiting our Website it constitutes acceptance of
the following Terms and Conditions outlined below. Please ensure that
you have read them thoroughly and understand the contents.
You also agree that you are old enough to enter legally binding contracts
available through this website and understand that you will be responsible
for all payments including those by another person using your login
information.
In addition, it is important to note that we are obligated to follow the
Terms & Conditions of our suppliers, which may supersede our own
Terms & Conditions with our customers.

1. Authorization
- Any order made by a customer is subject to our internal approval
process - we therefore, reserve the right to refuse orders or terminate
services without explanation.
- For any reason - including to comply with regulatory authorities - we
may need to change a telephone number(s) allocated to you. However, should
this occur, we will make every effort to give you advance notice.
2. Liability

Roam Simple will assume no responsibility for any damages, personal
injury, death or any other loss that resulted from the use of any of our
hardware and services. This also applies to acts or omissions of our
company and anyone under our responsibility including suppliers, agents
and employees.

Roam Simple does not make any guarantees for the quality and reliability
of service provided to us by any Carrier or agent acting on behalf of a
Carrier. Roam Simple is not responsible for any loss of service or failures
beyond our own negligence.

Roam Simple makes no warranty, expressed or implied, as to the coverage
areas for GSM SIM cards and the respective service provided by the local
wireless carriers. Your wireless coverage area may vary significantly depending
on several factors, including but not limited to: network changes, traffic
volume, service outages, technical limitations, signal strength, your equipment,
terrain, structures, weather and other conditions that may interfere with
actual service, quality and availability, including the ability to make,
receive and maintain calls.
3. Indemnity

In order to use this website, you agree to be solely responsible for and to
indemnify us from and against any and liabilities, expenses (including
attorney's fees) and damages resulting from claims.

Roam Simple warrants that any equipment and SIM service purchased will be
in excellent working order when it leaves the Roam Simple shipping facility.

Roam Simple is not liable for the performance of the cell phone or SIM card
or the reliability and operation of the network to which it is connected.
4. Confidentiality and Privacy

Roam Simple ensures you that your privacy is highly respected and that we do
not sell, rent, or loan any personally identifiable information, regarding
our customers, to any third party. We do collect information on products browsed
via log files and this information may be analyzed, in aggregate to ensure
our site is merchandised in a manner that adds the most convenience and
value to our customers. When an order is placed, we collect basic information
including your name, home address, phone, and email address. We use this
information to confirm your order and to respond to any questions you may
have. Where required, we also share this information with certain intermediaries
(Purolator, Credit Card Processing Companies, and Product Manufacturers)
strictly to process, charge and ship your order.

As a Customer, by proceeding to order products and services off the Roam
Simple website you authorize and permit Roam Simple to provide the personal
information we collected to our suppliers and partners to assist us with the
fulfillment of your order and maintenance of your service.

5. Limitations of Usage
You agree to use this website:
- For legitimate interactions and purchases with our company
- For personal and/or non-commercial use
- In full compliance of our Terms & Conditions
- In full compliance of federal, provincial and local laws/regulations
6. Modification of Terms
We may change these Terms & Conditions at any time without advance notice, which
become effective once posted on this website. By continuing to visit and use this
website, by default you have indicated your acceptance of the updated Terms & Conditions.
7. Modification of Pricing

All prices are subject to change without prior notification.

Roam Simple reserves the right to change and modify airtime
rates when deemed necessary without prior notification.

All Customers are bound to the current and posted rate schedule
regardless of previous rates posted at time of purchase.

We are not responsible for misprints on any of our collateral, website
or any of our Dealers and Partner advertised pricing.

Shipping and handling charges are non-refundable. Shipping and Handling
Rates are subject to change without prior notice. Oversize items and some
destinations may be subject to additional charges.
8. Delivery of Equipment
-
Roam Simple will make reasonable efforts to deliver the Customers order
by the requested delivery time.
-
Roam Simple Wireless will deliver all services and equipment to the shipping
address confirmed by Customer at the Customers own risk.
-
While Roam Simple will make reasonable efforts to deliver our products and
services, we shall not incur any liability to customers in the event of any
delay as such reasons relating to but not limited to weather, customs, force
majeure and any other issues beyond our reasonable control.

Customer shall accept their order when delivered on or before the requested
delivery time.
Note: For any reason, if you do not accept your order when delivered, you will
still be liable for the delivery costs in full. All items returned to us based on
your non-acceptance will incur a 25% restocking fee and the difference will be
refunded to your credit card.

Customer are encouraged to examine their order upon receipt and immediately
notify Roam Simple if the cell phone or SIM card purchased from Roam Simple
is not in good working order at the time of receipt or is not the correct
items ordered. Failure to do so within 7 days of receipt will result in the
void of the Peace of Mind Guarantee policy.

Customer is responsible for and will be invoiced for all Charges incurred
through the date Customer notifies Roam Simple that the equipment or service
is not working. Please refer to
the Peace of Mind Guarantee policy.

All returned products must be returned 100% complete, including all of its
components, all original boxes and packing materials, manuals, and other
accessories provided by the manufacturer.

INCOMPLETE, SCRATCHED or DAMAGED CONDITION: Roam Simple reserves the right to
refuse crediting the customer's account and the product will be returned to
the customer. The return freight will be billed to the customer's credit card.
9. Phone Warranty
Warranty does not cover misuse, abuse, liquid damage, or normal wear and tear from use
of the product. All Phones have a 3 month Manufacturer's Limited warranty against any
defects. All claims must be reported by email at info@roamsimple.com. If claims are
deemed valid, a replacement phone of equal or greater value will be sent to the customer
free of charge
10. Charges and Billing

Customer will pay all airtime and data charges invoiced by Roam Simple based on the rate schedule posted on the Website.

Customer will pay the charges for all airtime and data usage and any other charges for service until the service is cancelled or, the SIM card is returned to and accepted by Roam Simple.

Customer will pay for each incoming (where applicable), outgoing, completed, incomplete or attempted call in full minute increments. All partial minutes of airtime incurred will be rounded and billed to the next full minute increment.

All Text Messages or SMS will be charged on a per incident basis.

All Data usage are charged at a per KB rate unless posted.

Customers will be charged immediately for any airtime and data usage on their pre-approved credit card. Any outstanding charges that are delinquent and not processed to the Customers pre-approved credit card will be subject to immediate suspension or termination.

Roam Simple shall be entitled to charge interest at the rate of 5% per month on delinquent accounts over 30 days.

Roam Simple reserves the right to use a 3rd party collection agency to retrieve all monies outstanding after 30 days of the first billing attempt. Roam Simple will make all efforts to contact the Customer prior to referring the account to a collection agency.

Customer shall be liable to Roam Simple for all expenses, including reasonable attorneys' fees, collection fees and court costs incurred in connection with any collection, repossession or other action brought to enforce Roam Simples rights.

While traveling, you are responsible for all applicable airtime and data roaming charges. If a country is not posted in our website, you will be charged the highest zone rate for that particular SIM package. While you are roaming, you will be accessing the networks of our carrier partners. As such, you will be subject to their Terms & Conditions and rules for liability.

Roam Simple is entitled to directly charge the Customer, on a monthly basis and only when there is billable usage.

If you find an error on your usage statement, you must notify our company in writing within 30 days of the invoice date or you will have waived your right to dispute the charge. Likewise, if you have concerns about service while traveling, you must formally contact Roam Simple's Technical Support or Customer Service to have the issue recorded. We are unable to provide compensation if the issue was not reported during your travels and, therefore, we were not given the opportunity to help you fix it.

Roam Simple relies on international carriers to send us call records for your usage. Please note that call records may be delayed and we reserve the right to bill your pre-approved credit card for any outstanding call charges.
11. Renewal
All SIM cards have a valid service period of 12 months from the purchase order date after which a $29 annual renewal fee is automatically applied if the SIM card is not cancelled or returned. To cancel your service or to return the SIM card you must email us at
info@roamsimple.com.
As a Thank You, Roam Simple will apply a $10 credit to your account for each SIM card returned which may be applied towards the future purchase of an additional SIM card or any unbilled airtime.
The SIM card will at all times remain the property of Roam Simple
12. Ownership
The SIM card will at all times remain the property of Roam Simple. Customer
acquires no rights other than the right of temporary use. Cancellation of
service can be made only by the Customer and cancellation will be granted
once the SIM card is returned to Roam Simple and an acknowledgement of receipt
has been provided.
13. Termination & Cancellation

Roam Simple Wireless reserve the right to cancel your service at any time
if any violations have occurred contained within these terms and conditions,
without any notice. Some of these violations are as follows: (a) Roam Simple
has any reason to believe the service was obtained by any misrepresentation
or fraudulent means; (b) Roam Simple has any reason to believe the service
is or may be used for any illegal or improper purpose, or in violation of
applicable laws; (c) a breach of any of these Terms and Conditions including
the payment terms; or (d) detection of unusually high usage, or possible theft
or fraud.

Roam Simple may also amend or terminate these Terms and Conditions without
incurring any liability.

Upon cancellation, you must pay all outstanding amounts. Once full payment
is received, you may be eligible for reconnection. Re-connection charges
may nor may not apply based on individual circumstances.
14. Form of Payment; Credit Card Charges and Authorization

For customers from both the USA and Canada, we accept the following major credit
cards: Visa, Master Card, and Diners Club. If our customer's credit card is based
in Canada, then all rates are charged in Canadian dollars. If our customer has a
credit card based in the USA, all charges will be in US dollars.

By providing Roam Simple with the Credit Card account for payment you have confirmed
that you are authorized to use the credit card number you have provided.

Roam Simple reserves the right to pre-authorize an amount up to $1000 to the Customers
pre-approved credit card prior to invoicing the Customer if Roam Simple has any detection
of unusually high usage, or possible theft or fraud.
15. Lost or Stolen SIM Card

You must notify us immediately if your Roam Simple product (SIM card or GSM cell phone) is
lost or stolen. You must also provide us with a police report as evidence of the loss or theft.

As soon as we have been notified that your phone has been lost or stolen, we will take
immediate action to suspend or cancel your service. You will be responsible for all charges
until Roam Simple has received confirmation by the provider/carrier that a suspension or
cancellation of the account is successful.
